Partner Agreement

The agreement a CrossTrade Partner accepts to build and operate a product for its own customers on the CrossTrade Partner Platform.

Version 2026-10-22  |  This is the text accepted in the CrossTrade application. The version and content hash of the text you accepted are recorded with your account.

Version 2026-10-22. Effective when you expressly accept this version. Section 15 governs changes for existing Partners.

This Agreement is between CrossTrade LLC, a Wyoming limited liability company ("CrossTrade", "we", "us"), and the person or entity operating the Partner Product ("Partner", "you"). The person accepting represents that they have authority to bind that entity. Your account must identify the contracting entity accurately.

The Terms of Service, Trading Disclaimer, AI Trading Agents Disclaimer, Privacy Policy and Refund & Cancellation Policy are incorporated as the "CrossTrade Terms". This Agreement controls conflicts concerning the Partner Platform, including liability, permitted use, termination and disputes. It does not make a Member a party to your commercial agreement or bind a Member through your signature.

IMPORTANT: Sections 11 through 14 allocate technology and trading risks, release certain claims including ordinary-negligence claims where lawful, limit damages, require you to fund the defense of covered third-party claims, and require individual arbitration. Read them before accepting.

1. Definitions

Partner Platform means the Partner API, hosted Connect flow, member OAuth authorization, webhooks, event feeds, dashboard, documentation, sandbox and related CrossTrade tools.

Partner Product means the product, software, service or business you operate for your customers using the Partner Platform. Member means the holder of a CrossTrade account enrolled with your Partner Product. Seat means that enrollment while it is open and funded by you. For an account created through the Partner API, a Seat opens when account creation succeeds, before the Member opens Connect, accepts terms or links a broker. It closes when the enrollment is revoked, released, expired or terminated. Revoking an Authorization alone does not necessarily close a Seat or end your billing obligation.

Seat-day means a UTC calendar day on which a Seat is open for a positive amount of time during a billable service period. Opening and closing days count when they have that overlap; a Seat ending exactly at midnight does not count toward the following day. The same Seat is not counted twice on the same day. Authorization means the scopes and broker identities a Member authorizes, and the credentials issued under that grant. Member Data means information about a Member exchanged through the Partner Platform. Credentials includes client secrets, access and refresh tokens, authorization codes, Connect tickets and webhook signing secrets. Documentation means CrossTrade's published Partner API documentation and brand guidelines.

CrossTrade Parties means CrossTrade and its affiliates, members, managers, directors, officers, employees, contractors, agents, licensors, suppliers, successors and assigns. An independent Partner is not a CrossTrade Party merely because it uses the Partner Platform.

2. Plan and license

2.1 Plan. The Partner plan includes Elite features for your own trading and access to the Partner Platform, subject to account eligibility, billing, operational limits and this Agreement. Separately signed commercial terms may specify different entitlements.

2.2 License. CrossTrade grants a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Partner Platform solely to operate your Partner Product for your own customers, within their Authorizations and the Documentation. No ownership or implied license is granted.

2.3 Restrictions. You must not resell or share CrossTrade accounts, Seats or Credentials; act outside or after a Member's Authorization; complete, automate, simulate, pre-fill, intercept or interfere with a Member's legal acceptance, broker login or consent; obtain a Member's passwords or session cookies; reverse engineer or redistribute the Partner Platform except where applicable law expressly permits; scrape or bulk-extract data, retain it beyond operational or lawful recordkeeping need, or use it to train or build a competing service; circumvent scopes, environment restrictions, billing or security controls; create fictitious accounts or accounts without the person's informed consent; introduce malicious code; overload the Services; or test CrossTrade's security without prior written permission. A Partner-supplied Connect ticket is not permission to accept or authorize for a Member.

2.4 Changes and availability. CrossTrade may add, change, limit, suspend or withdraw features, endpoints, scopes, environments, access and support at any time. CrossTrade aims to give thirty (30) days' notice of non-backwards-compatible changes where practicable, but this is not an uptime commitment, a condition on Section 10, or a promise that a feature will remain available. Beta and preview features are experimental. You must adapt your integration and maintain a direct-broker contingency procedure.

2.5 Limits. CrossTrade may set, change, withhold or withdraw live access, demo access, Seat caps, rate limits, concurrency limits and per-Member limits. Demo results do not establish live reliability or profitability.

3. Relationship and regulatory responsibility

3.1 Independent parties. "Partner" is a commercial label. It creates no partnership, agency, employment, franchise, joint venture or fiduciary relationship. You cannot bind CrossTrade or speak on its behalf.

3.2 Technology only. CrossTrade supplies order-routing and automation technology. It is not a broker, dealer, futures commission merchant, introducing broker, commodity trading advisor, commodity pool operator, investment adviser, exchange, clearing organization or fiduciary, and is not registered with the CFTC, NFA, SEC, FINRA or a state or foreign regulator in those capacities. CrossTrade does not hold customer funds, select investments, assess suitability, provide investment, tax or legal advice, or supervise your strategies, signals, marketing or regulatory compliance. Its fees are software and hosting charges, not compensation based on trading volume or performance. Contractual descriptions do not displace duties imposed by applicable law.

3.3 Your obligations. You alone must determine and maintain the registrations, licenses, memberships, exemptions, disclosures and filings required for your business, including advice, signal distribution, discretionary trading, copying, solicitation, performance advertising and managed or pooled accounts. You represent that all required authorizations are in good standing. Notify CrossTrade in writing within five (5) business days of a denial, lapse, suspension, revocation or regulatory inquiry, and provide evidence on request. CrossTrade may withhold access pending evidence.

3.4 Authorized Partner use. Notwithstanding the personal-use, third-party-account and paid-signal restrictions in Sections 2A, 13, 15B, 15D, 17B and 17K of the Terms of Service and corresponding disclaimers, this Agreement permits your lawful operation of the Partner Product through the documented Partner Platform within each Member's Authorization. This exception does not authorize pay-to-pass activity, credential sharing, use of your retail account or Signal Share to trade for customers, or conduct prohibited by a broker, Prop Firm or law. Your own trading remains governed by the ordinary CrossTrade Terms.

3.5 No endorsement. Do not imply that CrossTrade endorses, certifies, audits, supervises or guarantees your business, advice, security, results or regulatory status. Comply with applicable advertising and performance rules, including CFTC Rule 4.41, NFA Rule 2-29 and FTC endorsement rules where applicable. Do not guarantee profits or freedom from losses. Clearly identify hypothetical results and disclose material risks.

4. Members

4.1 Creation consent. Before creating an account, obtain and retain the customer's express, informed consent to account creation, provision of their accurate name and email to CrossTrade, and direct security, service and legal communications from CrossTrade. Obtain the customer's own acceptance of your terms and privacy notice. You cannot accept CrossTrade's terms for the Member.

4.2 Personal authorization. The Member must personally open the Connect link, review and accept the displayed documents, link their broker and authorize access. The Connect link is the Member's access to that flow: deliver it only through a channel authenticated to the intended customer and never share it publicly. Creation of a Seat, delivery of a link or payment by you is not evidence of the Member's acceptance.

4.3 Revocation. Act only within a current Authorization. Members may revoke by asking you or by contacting CrossTrade directly, without your permission. CrossTrade may narrow, suspend or revoke access as Section 10 provides. Stop new activity promptly after revocation and do not re-enroll or reauthorize without fresh Member consent. A request already submitted may still complete. Revocation does not itself cancel working orders, flatten positions or reverse fills. Partner-created copiers are prevented from further copying once revocation is enforced; protective monitors and broker-held orders may continue and are not guaranteed to work. Your customer disclosures and contingency procedures must explain these distinctions.

4.4 Your product. You are responsible for its design, logic, signals, advice, strategies, risk controls, order sizing, execution choices, availability, security, customer pricing, refunds, support, marketing, disclosures and lawful operation, including identification, sanctions, tax and suitability obligations applicable to you. CrossTrade may refer product-support requests to you. This does not prevent Members contacting CrossTrade about their authorization, security, privacy or legal rights.

4.5 Required disclosures. Clearly disclose your identity, fees, terms and privacy notice; CrossTrade's technology-only role; the lack of endorsement; the risks of your systems, CrossTrade's systems and brokers; the possibility of losses from ordinary negligence and technology failures; independent revocation; the effect of revocation on automation and open positions; and direct CrossTrade operational and legal notices. Present risk disclosure at least as complete as the Trading Disclaimer and, when applicable, the AI Trading Agents Disclaimer. Do not describe any technology as fail-safe.

4.6 Eligibility and accounts. Enroll only real customers aged eighteen (18) or older with legal capacity and lawful access, using accurate information and broker accounts they own or are personally authorized by the issuing broker or Prop Firm to trade. The current Partner creation flow requires an email not already registered with CrossTrade; it does not attach an existing retail account. A separate, accurately identified Partner-managed account is permitted for an existing customer, but not to obtain another trial, bypass a restriction, duplicate a broker identity already claimed elsewhere or conceal identity. CrossTrade may refuse duplicate or conflicting accounts. Do not promise account merging or automatic transfer of a paid subscription.

4.7 Managed accounts. Members use your product rather than the retail CrossTrade dashboard while managed. CrossTrade suppresses marketing, but may communicate directly for security, service, privacy and legal matters and may revoke a connection at the Member's direct request. CrossTrade may restrict or end any Seat or account under Section 10 for any lawful reason or no stated reason. When funding ends, a released account is ordinarily placed on the free plan, subject to account restrictions, and its holder may set a password and purchase services directly. Release does not override a security suspension, legal restriction or deletion. You own no Member account, data or broker relationship.

4.8 Existing relationships. A separate Partner-managed account does not transfer or terminate the Member's existing retail subscription. Do not misrepresent or interfere with their relationship with CrossTrade.

4.9 Brokers and Prop Firms. You must not cause a Member to violate a broker's, exchange's, platform's or proprietary trading firm's rules or represent that CrossTrade's availability establishes permission. Section 7A of the Terms of Service applies.

4.10 Communications. Comply with applicable communications laws and use Member contact details only for your Partner Product. Do not obstruct CrossTrade's direct legal, privacy or security communications.

5. Security and operation

Keep Credentials confidential in secure storage, encrypted or hashed as appropriate, with least-privilege access. Do not place them in public or client-side code, logs, tickets or shared documents. Verify webhook signatures before acting. Rotate exposed Credentials immediately. Maintain appropriate encryption, multi-factor authentication, patching, secure development, monitoring and incident response.

Notify security@crosstrade.io within twenty-four (24) hours of discovering an actual or suspected compromise of Credentials, Member Data or a system able to act for Members. Preserve relevant evidence, cooperate and perform your own legally required notifications. Report vulnerabilities promptly without exploiting or publicly disclosing them. CrossTrade may revoke or rotate Credentials and contact Members.

You are responsible for activity using your Credentials to the extent permitted by law. Do not assume that a successful HTTP response confirms broker execution or that a timeout means an order failed. Independently reconcile orders, fills, positions and balances with the broker before retrying. Maintain secure records sufficient to distinguish duplicates, delayed responses and unknown outcomes. CrossTrade does not promise exactly-once execution, message ordering, delivery of every notice, or successful recovery after an outage.

6. Data and privacy

6.1 Sharing. CrossTrade shares enrollment and connection status, supplied name and email, external identifiers, usage and billing records, and, within the Member's Authorization, broker identifiers, balances, positions, orders, fills, automation configuration, action results and related events. Broker passwords and CrossTrade login passwords are not shared. Partner access tokens are credentials authorizing scoped access, not broker passwords.

6.2 Roles. Each party is responsible as controller or business for processing whose purposes and means it determines. Legal roles follow actual processing and applicable law, not labels in this Agreement. If a proposed activity requires one party to process personal data for the other, agree to any required data-processing terms before that activity begins. Maintain an accurate privacy notice, obtain required consent, honor applicable privacy rights, protect cross-border transfers, and do not sell Member Data or share it for cross-context behavioral advertising.

6.3 Protection. Apply Section 5 to Member Data and satisfy applicable incident-notification duties.

6.4 Retention. Retain Member Data only for operating the product and lawful recordkeeping. On revocation or termination, destroy Credentials and delete CrossTrade-originated Member Data except records lawfully necessary for tax, regulatory, security or legal-claims purposes. Restrict retained records to those purposes. Cooperate with lawful access, export and deletion requests.

6.5 CrossTrade records. CrossTrade processes account, usage, acceptance and audit information under its Privacy Policy to operate, secure, bill, support and improve the Services, enforce agreements and meet legal obligations. It may give Members information about their own accounts and Authorizations. Contract and consent evidence is distinct from routine operational logs and may be retained as described in that policy after account deletion.

7. Fees, billing and taxes

7.1 Base fee. The Partner plan fee is charged in advance at the price shown before purchase or in a written offer you accepted.

7.2 Usage. Seat-day fees accrue from successful account creation or reopening, including time before Connect or broker linking, at your disclosed rate. They accrue during billable service periods whether or not a Member trades. They are billed monthly in arrears. Revoking a grant alone does not stop Seat charges; close the enrollment to end them. CrossTrade's ledger is the usage record absent manifest error. Raise invoice errors in writing with reasonable detail within thirty (30) days, subject to rights that cannot lawfully be shortened.

7.3 Payment. Authorize the payment processor to charge amounts due and maintain a valid payment method. Non-payment may result in restriction or termination. Overdue amounts bear interest at the lesser of 1.5% per month and the lawful maximum, plus reasonable lawful collection costs. Knowingly false payment disputes are a material breach. A good-faith exercise of statutory or card-network dispute rights is not itself fraud or a waiver of those rights.

7.4 Taxes. You pay applicable transaction taxes, excluding taxes on CrossTrade's net income. Where lawful, gross up required withholding so CrossTrade receives the agreed fee.

7.5 Price changes. CrossTrade gives at least thirty (30) days' notice of price changes by account email or dashboard, unless your separately accepted offer specifies otherwise. Stop use and close Seats before the effective date if you decline. Changes do not reprice accrued usage.

7.6 Refunds. The Refund & Cancellation Policy, any expressly agreed commercial refund provision and mandatory law control. Initial Partner base-plan purchases have the policy's applicable initial-purchase refund window; accrued Seat-day usage is non-refundable except billing error, an express commitment or law. No trial or trial completion is presumed for an invite-only Partner purchase. If CrossTrade permanently terminates paid access solely for convenience, it will refund prepaid base fees for the unused terminated period; accrued usage remains due. Other trading-loss remedies are subject to Section 12.

7.7 Your charges. You set and collect your own customer charges and are responsible for their disclosure and refunds. Do not describe them as CrossTrade charges. Payments to you do not increase CrossTrade's liability cap.

8. Intellectual property and branding

8.1 CrossTrade and its licensors retain all rights in their Services, APIs, documentation and marks. 8.2 A limited, revocable license permits unaltered "Powered by CrossTrade" branding under the Documentation. Do not use CrossTrade or confusingly similar marks as your product, business, domain or dominant brand, or imply endorsement. Stop or correct use on request; goodwill belongs to CrossTrade. 8.3 You own your product and marks and license CrossTrade to display them to identify your product in Connect, notices, dashboards and support. Public directory or promotional listing requires your opt-in. 8.4 CrossTrade may use voluntarily supplied feedback without restriction or payment, subject to confidentiality and privacy obligations.

9. Compliance, records and insurance

9.1 Comply with applicable laws and the CrossTrade Terms. Do not facilitate market manipulation, wash trading, spoofing, layering, front-running, insider trading, fraud, money laundering, sanctions evasion, bribery or pay-to-pass activity. 9.2 Do not provide access to persons or jurisdictions prohibited by applicable sanctions or export restrictions.

9.3 Keep customer consent, disclosure and compliance records for at least five (5) years, or longer where law requires, using data minimization and appropriate safeguards. Provide relevant evidence within ten (10) business days of a reasonable request. 9.4 Cooperate promptly in Member complaints, security incidents, regulatory inquiries and legal process.

9.5 Protect non-public pricing offers, security information and confidential communications with reasonable care, use them only for this relationship, and disclose only to persons who need them and are bound to confidentiality. Exceptions cover lawfully public or previously known information and legally compelled disclosure, with notice where permitted. Return or delete confidential information on termination subject to lawful retention.

9.6 Maintain insurance appropriate to a business whose software can place orders in other people's accounts, including technology errors-and-omissions and cyber-liability coverage, and provide certificates of insurance on request.

10. Term, suspension and termination

10.1 This Agreement starts on acceptance and continues until terminated. 10.2 You may stop using the Partner Platform and leave the Partner plan, subject to accrued charges and your customer obligations.

10.3 Immediate access control. To the fullest extent permitted by law, CrossTrade may refuse, restrict, suspend, disable or revoke any Partner, Member, account, Seat, Authorization, Credential, feature or environment at any time, in its sole discretion, for any lawful reason or no stated reason, with or without cause and with or without prior notice. Reasons may include business judgment, discontinuation, non-payment, complaints, risk, suspected breach, security or legal obligations. Examples do not limit this discretion. CrossTrade need not establish a breach or offer a cure period before exercising these rights.

10.4 Termination. CrossTrade may terminate this Agreement or any Partner access immediately on the same basis. A notice or opportunity to cure that CrossTrade elects to provide does not create an obligation to provide one in another case. Required statutory notice and expressly negotiated termination provisions still apply. Section 15 governs changes to contract text; it does not require advance notice of individual access decisions.

10.5 Effect. Access and credentials may cease immediately, including during market hours. Open Seats and pending flows may be closed, Members released subject to account restrictions, and final usage billed through closure. Stop using the Platform and marks, and comply with data deletion obligations. Revocation does not recall submitted instructions, cancel working orders or close positions. Existing protective monitors may continue where supported but are not promised; maintain direct broker access. Subject to Section 12, CrossTrade Parties are not liable for trading losses, customer claims, business interruption or replacement costs caused by lawful suspension, withdrawal or termination. Refunds are governed by Section 7.6, not a blanket forfeiture.

10.6 Survival. Accrued payment duties and provisions concerning risk allocation, privacy, lawful retention, confidentiality, intellectual property, indemnity, disputes, electronic evidence and their enforcement survive termination.

11. Disclaimers and assumption of technology risk

THE PARTNER PLATFORM AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, THE CROSSTRADE PARTIES DISCLAIM EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY AND AVAILABILITY. NO ORAL STATEMENT, SUPPORT RESPONSE, EXAMPLE OR DOCUMENTATION CREATES A WARRANTY OR SERVICE-LEVEL COMMITMENT.

Failures may originate in CrossTrade's own software, infrastructure, hosting, routing, authentication, risk controls, updates, maintenance, personnel or operations, in your product, in a broker or vendor, or from an unknown or combined cause. Bugs, ordinary negligence, corrupted or stale data, duplicated, missing, delayed or reordered messages, token expiry, outages and unsuccessful recovery may cause erroneous trades, missed exits, unmanaged positions and losses beyond deposited capital. CrossTrade does not promise error correction, uninterrupted access, timely alerts, compatibility, correct execution or successful stop, cancel, flatten or other protective action. A request acknowledgment is not a broker execution confirmation. Verify with the broker and maintain independent means to manage positions. These risks exist even when you and the Member configured everything correctly.

12. Release and limitation of liability

12.1 RELEASE AND EXCLUDED LOSSES. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU ASSUME THE ECONOMIC RISKS DESCRIBED ABOVE AND RELEASE THE CROSSTRADE PARTIES FROM YOUR CLAIMS FOR TRADING LOSSES ARISING FROM THE PARTNER PLATFORM, INCLUDING THEIR OWN ORDINARY NEGLIGENCE, ERRORS AND OMISSIONS. THE CROSSTRADE PARTIES WILL NOT BE LIABLE FOR TRADING LOSSES, LOST CAPITAL, MISSED PROFITS OR OPPORTUNITIES, INCORRECT OR UNEXECUTED ORDERS, PROP FIRM ACCOUNT OR PAYOUT CONSEQUENCES, LOSS OF REVENUE, GOODWILL OR DATA, SUBSTITUTE-SERVICE COSTS, CUSTOMER CLAIMS OR REGULATORY PENALTIES, WHETHER CHARACTERIZED AS DIRECT OR INDIRECT DAMAGES. THEY ALSO WILL NOT BE LIABLE FOR INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES.

12.2 AGGREGATE CAP. THE TOTAL COMBINED LIABILITY OF ALL CROSSTRADE PARTIES TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE PARTNER PLATFORM OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) PARTNER BASE AND SEAT-DAY FEES YOU ACTUALLY PAID CROSSTRADE IN THE THREE (3) MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIMS AND (B) USD $100. THIS IS ONE AGGREGATE CAP, NOT A SEPARATE CAP PER DEFENDANT, EVENT, MEMBER, DOCUMENT OR LEGAL THEORY. AMOUNTS RECOVERED FOR THE SAME LOSS UNDER ANOTHER CROSSTRADE DOCUMENT COUNT TOWARD, AND DO NOT STACK ON, THE APPLICABLE CAP. CONTRACTUAL REFUNDS EXPRESSLY DUE UNDER SECTION 7.6 ARE NOT REDUCED BY THIS CAP.

12.3 These protections apply in contract, tort (expressly including ordinary negligence), warranty, strict liability and otherwise, even if the loss was foreseeable, a CrossTrade Party was advised of it, or a remedy fails its essential purpose. You release only your own claims and claims you lawfully control, not a Member's independent rights. Members' claims are governed by their own accepted terms and applicable law; this Agreement does not impose your cap on a nonsignatory Member. Your defense and indemnity obligations are separate and are not limited by CrossTrade's liability cap.

12.4 Nonwaivable rights. No CrossTrade document excludes, releases or limits fraud, willful misconduct, gross negligence, or liability, remedies or duties that applicable law prohibits limiting. Nothing waives nonwaivable consumer, privacy, securities or commodities-law rights, lawful complaints to regulators, truthful reviews, or mandatory refund rights. These savings apply to all incorporated CrossTrade Terms. An unenforceable exclusion does not expand the remaining exclusions or cap beyond what law permits.

13. Partner defense and indemnity

13.1 You will defend, indemnify and hold harmless the CrossTrade Parties against third-party claims, including Member and customer claims, and resulting lawful losses, settlements, judgments, reasonable attorneys' fees and defense costs arising from your product or business, customer use, trading activity under Authorizations, advice, signals, automation, marketing, regulatory or privacy obligations, breach, unlawful acts, compromised Credentials or systems, infringement, taxes, or your negligence or misconduct.

13.2 THE COVERED CLAIMS EXPRESSLY INCLUDE CLAIMS ALLEGING THAT CROSSTRADE'S OWN TECHNOLOGY FAILED OR THAT A CROSSTRADE PARTY'S ORDINARY NEGLIGENCE, ALONE OR TOGETHER WITH ANOTHER CAUSE, CONTRIBUTED TO A MEMBER'S OR CUSTOMER'S LOSS WHILE USING YOUR PRODUCT. This allocation is intended to cover such ordinary negligence to the extent lawful. It does not require indemnity for the portion finally determined to result from a CrossTrade Party's fraud, willful misconduct, gross negligence or non-indemnifiable statutory liability.

13.3 CrossTrade will notify you promptly of a covered claim; a delay excuses your obligations only to the extent it materially prejudices the defense. You will defend the claim at your expense with counsel reasonably acceptable to CrossTrade, and CrossTrade will reasonably cooperate. CrossTrade may participate with its own counsel at its own expense, and may take control of the defense at your expense if you do not defend promptly. You may not settle a claim without CrossTrade's written consent if the settlement admits fault by a CrossTrade Party, imposes an obligation on it, or does not fully release it.

14. Governing law and disputes

This Agreement is governed by the laws of the State of Wyoming without regard to its conflict-of-law rules. Every dispute arising out of or relating to this Agreement or the Partner Platform will be resolved by binding arbitration before a single arbitrator administered by the American Arbitration Association under its Commercial Arbitration Rules in Wyoming, as Section 22 of the Terms of Service provides, and you and CrossTrade each waive any right to a jury trial and to participate in a class, collective or representative proceeding. The limitation period in Section 23A of the Terms of Service applies. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information or Credentials or to stop unauthorized access, and CrossTrade may bring an action to collect unpaid fees in any court of competent jurisdiction. Either party may bring an individual claim in small-claims court where that court has jurisdiction.

15. Changes and existing Partners

CrossTrade will provide at least thirty (30) days' notice of material changes by account email or a prominent dashboard notice, except changes required sooner by law or a genuine security necessity. The notice identifies the version, changes and proposed effective date. Publication alone does not establish your acceptance, and no acceptance record will be backdated. CrossTrade may request express acceptance and restrict new activity after the notified deadline if you decline. Accepting earlier makes the revised text effective by your express agreement. If you do not agree, close Seats and end the Partner service before the deadline. Existing signed amendments remain effective according to their own terms; this Agreement does not silently override a separately negotiated contract.

16. General

16.1 This Agreement, the CrossTrade Terms and accepted written offers form the agreement about the Partner Platform. A separately signed amendment controls only where it expressly modifies these terms; an accepted pricing offer controls its pricing; otherwise this Agreement controls the CrossTrade Terms. No reliance on unwritten promises is intended, without limiting fraud claims or statutory rights. 16.2 You may not assign, including by change of control, without written consent. CrossTrade may assign subject to applicable law. 16.3 Notices to CrossTrade go to support@crosstrade.io, security incidents to security@crosstrade.io. Keep your notice address current. Material changes use Section 15, not merely a website posting. Mandatory delivery rules control. 16.4 Force majeure under Section 21 of the Terms of Service applies but does not replace the technology-risk allocation above. 16.5 CrossTrade Parties may enforce the disclaimers, release, exclusions, cap, indemnity and dispute provisions as intended beneficiaries. Members have no contractual rights under this Partner Agreement; their own agreements remain independent. 16.6 Unenforceable provisions are severed to the extent lawful. Delay or selective enforcement is not a waiver. 16.7 Deliberate checkbox and click acceptance is an electronic signature. CrossTrade records the document version and hash, timestamp, accepting account, session reference and available network and browser evidence. Electronic records may be used as evidence, without preventing a good-faith challenge to authenticity or attribution. 16.8 Headings are for convenience; "including" is nonexclusive.

17. Acceptance

By checking the acceptance box and continuing, you confirm your authority, the accuracy of your identifying information, your review of this Agreement and incorporated CrossTrade Terms, and your agreement to the risk allocation, ordinary-negligence provisions, defense obligations, access-revocation rights and dispute terms above.
